Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Resonaut mobile application (the “App”), operated by us (“we,” “our,” or “us”). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 4 years old to use the App. By using the App, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.

You may not:

• Copy, modify, or distribute the App
• Reverse engineer or attempt to extract source code
• Use the App in any unlawful manner

3. Subscriptions and Premium Features

• Payments are charged to your Apple ID account.
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• You can manage or cancel subscriptions in your App Store account settings.
• We do not handle refunds. Refund requests must be made through Apple.

4. Sound Content and Licensing

4.1 Licensed, Not Sold

All sounds, soundscapes, and audio content available in the App (“Sounds”) are licensed, not sold. We or our licensors retain all rights, title, and interest in the Sounds.

4.2 Third-Party Licensed Sounds

Some Sounds are provided under third-party licenses, which may include Creative Commons or other licensing terms. These licenses are disclosed within the App where applicable.

You agree to comply with any license restrictions associated with specific Sounds.

4.3 No Standalone Use or Redistribution

Except as explicitly permitted within the App:

• You may not extract, download, resell, sublicense, redistribute, or make available any Sound(s) except where such use is expressly permitted by the applicable license(s) or where you own the rights to the Sound(s).
• Premium access does not grant ownership of Sounds.

5. Imported Sounds

You may import sounds stored locally on your device for personal use within the App.

• Imported sounds remain stored locally on your device.
• We do not host, store, or upload imported sounds to our servers.
• You represent that you have the legal right to use any sound you import.

You are solely responsible for any imported content.

6. Sharing Soundscapes

The App may allow you to share soundscape configurations (such as mixes, settings, or combinations of sounds) directly with others via messaging or other device features.

• Shared soundscapes do not include transferable ownership of Sounds.
• Recipients must have lawful access to the App and its Sounds to use shared soundscapes.

7. Prohibited Uses

You agree not to:

• Redistribute or commercialize Sounds
• Circumvent subscription or access controls
• Use the App to infringe intellectual property rights
• Use the App for illegal or harmful purposes

8. Intellectual Property

The App, including its design, features, trademarks, and branding, is owned by us and protected by intellectual property laws. Third-party Sounds remain the property of their respective licensors. Nothing in these Terms transfers ownership of any intellectual property to you.

9. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms or misuse the App. Upon termination, your license to use the App ends immediately.

10. Disclaimer of Warranties

The App is provided “as is” and “as available.” We make no warranties, express or implied, regarding the App’s operation, availability, or suitability for any purpose.

11. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App. Our total liability shall not exceed the amount you paid for the App or subscription, if any.

12. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms.
